Assets of Custom Metal and Glass Business

Sale of assets of AI Design LLC and Custom Metal Fabrication LLC (the “Seller”), which includes:

• Any or all inventories of finished and unfinished products, supplies, and packaging materials on hand at Closing;
• All manufacturing equipment, machinery, furniture, fixtures, motor vehicles, tooling and tools owned by the sellers and used in their business;
• Customer contracts and all right, title and interest in any or all unfilled purchase orders in connection therewith pending at the Closing;
• All of the sellers' Intellectual Property, Domain Names, Media Handles and Confidential Information;
• All papers and records (whether in written or other form) of any kind presently in or in the future coming into the care, custody, or control of the sellers relating to any of the Assets sold to Purchaser;
• All permits, licenses, franchises, consents, authorities, special authorities and other similar acts of any government body (federal state, local or foreign) held by the sellers and relating to the Assets that lawfully may be assigned or transferred, subject to any action by such body that may be required in connection with such assignment or transfer;
• All patent rights, trade secrets, market information, market analyses, marketing plans and all other proprietary rights used or useful or developed, for use in the sellers' Business;
• All customer information obtained from the Domain Names and maintained by the sellers in the ordinary course of business;
• All electronic mail addresses, telephone, telex and telephone facsimile numbers and other directory listings used in connection with the Business and/or owned by the sellers;
• All intangible assets associated with the Business, including customer, registry and supplier lists, customer contact information, email lists and other address lists relating to the Business; and
• All goodwill associated with the Purchased Assets including the goodwill associated with the Intellectual Property owned by the sellers.
